Venue Subscription Terms
Version 1.2 — Effective October 11, 2026
These Venue Subscription Terms (the “Venue Terms”) govern the business-to-business (B2B) subscription under which a venue — a bar, restaurant, hotel, or other hospitality business (“Venue”, “you”) — uses the Audio Sommelier for Venues service. They are entered into between you and Egységmester Korlátolt Felelősségű Társaság (Egységmester Kft.), registered seat 2330 Dunaharaszti, Gyóni Géza köz 8., Hungary, company registration number 13-09-162959, tax number 24291608-2-13 (“we”, “us”, “Provider”). Contact: hello@audiosommelier.pro.
By subscribing, you confirm that you are a business acting for purposes relating to your trade or profession, that the person accepting these Venue Terms is authorised to bind the Venue, and that you have read and agree to these Venue Terms. These Venue Terms apply to the Venue subscription only; the separate consumer Terms of Service govern personal (guest and Premium) accounts.
1. The service
Audio Sommelier for Venues is a digital software service. You add your drink list to a Venue dashboard and generate a table QR code. A guest scans that QR code and receives a short, educational, sommelier-style guided tasting (text and audio) of your drinks on the guest’s own device. The service is provided entirely digitally, with no human performance on our part. It provides general educational tasting guidance only and is not professional, medical, health, dietary, allergen, or safety advice. AI-generated content must not be relied upon for allergen, ingredient, dietary-suitability, or health claims; you remain solely responsible for any allergen and ingredient information you give your guests.
2. Eligibility
The Venue subscription is available only to registered businesses able to issue invoices. You are responsible for the accuracy of the business details you provide. We may verify eligibility and may decline or discontinue a subscription where eligibility is not met.
3. Fees, billing and auto-renewal
3.1. The Venue subscription is offered at €490 per year or €49 per month, exclusive of VAT. Applicable tax is calculated and shown at checkout. There is no commission on your sales — the fee is a flat subscription.
3.2. The subscription renews automatically for successive periods (annual or monthly, as selected) unless either party gives notice of non-renewal before the next renewal date. For a price change, we will give you at least thirty (30) days’ prior notice for an annual plan (a shorter, clearly stated period for a monthly plan); the new price applies only from the next renewal after that notice, and you may cancel before it takes effect at the current price. Founding venues: the first ten (10) Irish venues that sign up under the founding offer receive twelve (12) months free from go-live; the standard fee applies only from the first renewal after the free period, and we will notify you by email at least fourteen (14) days before the first charge. Either party may in any event terminate an indefinitely renewing subscription on thirty (30) days’ notice, effective at the end of the current paid period.
3.3. Stripe Managed Payments and seller of record: we use Stripe Managed Payments for checkout and billing. The seller and merchant of record for your purchase is Sold through Link, LLC (a US company and affiliate of Stripe), which handles the sale, billing, and the calculation, collection, filing and remittance of applicable indirect tax (VAT) for supported transactions. Your payment is subject to the Stripe terms shown at checkout. We do not receive or store your full card or financial account details. See the Stripe Managed Payments information and the Stripe Privacy Policy.
4. Cancellation and refunds
4.1. You may cancel at any time; cancellation stops future renewals and takes effect at the end of the current paid period. You retain access until the end of that period.
4.2. Because the Venue subscription is a business-to-business service, the statutory 14-day consumer right of withdrawal does not apply. As a safeguard, if you are a natural person acting for purposes relating to your trade or profession (for example a sole trader / egyéni vállalkozó), you acknowledge that you request the service to begin immediately, that you expressly request performance to start before the end of any withdrawal period and acknowledge that for the portion supplied at your express request a proportionate amount becomes due on withdrawal. Except where required by mandatory law, fees already paid for the current period are non-refundable and we do not provide pro-rata refunds for the unused part of a period after cancellation.
5. Your responsibilities
5.1. You are solely responsible for your premises and for the lawful, responsible sale and service of alcohol, including verifying that your guests are of legal drinking age. We do not sell, broker, supply, ship, or deliver alcohol, and the service does not authorise anyone to consume alcohol.
5.2. You are responsible for the accuracy of the drink information you enter and for having the right to use it. You will not use the service to display unlawful, misleading, or infringing content, and you will comply with applicable food-and-beverage, advertising, and consumer-protection rules that apply to your business.
5.3. You will not resell, sublicense, or misrepresent the service, and you will not attempt to circumvent usage limits, security, or the guest-facing quotas.
6. Guests and data protection
6.1. A guest interacts with Audio Sommelier directly through their own device and account; for the guest’s personal account and usage data we act as an independent controller under our Privacy Policy. The drink list and venue information you provide are your business data, which we process to operate the service on your behalf.
6.2. Each party will comply with applicable data-protection law (including the GDPR) for the data it controls. You will not upload personal data of guests into the Venue dashboard beyond what is necessary, and you remain responsible for any guest-facing notices required on your premises. You will make guests aware, by clear on-premises signage at or near the table QR code, that scanning connects them to the Audio Sommelier digital service on their own device.
6.3. Where we process personal data as a processor on your behalf, that processing is governed by our Data Processing Agreement (available on request), which sets out the Article 28 GDPR requirements (subject matter, purpose, security measures, sub-processors, assistance, and deletion or return of data). Any guest analytics we make available to you will be aggregated and will not identify individual guests.
7. Intellectual property and licence
7.1. We and our licensors retain all intellectual property rights in the service, the AI-generated tasting content, the software, and the Audio Sommelier brand (but not in your underlying drink data). During your paid subscription we grant you a limited, non-exclusive, non-transferable licence to use the service and to display the generated table QR codes and tasting cards at your Venue. The licence ends when the subscription ends, and you will then stop using the generated content.
7.2. You retain ownership of the drink list, descriptions, logos, and other material you upload, and you grant us a non-exclusive, worldwide licence to host, reproduce, translate, adapt, and display that material solely to operate and improve the service for you. You confirm you have the rights to grant this licence.
7.3. If a third party claims that our AI-generated tasting content, as provided by us, infringes their intellectual property, we will defend you against that claim and cover the resulting finally-awarded damages, provided you notify us promptly and let us control the defence. This does not apply to your own content or to content you modified.
8. Availability, warranties and liability
8.1. We provide the service on a commercially reasonable, “as available” basis and do not warrant that it will be uninterrupted or error-free. AI-generated tasting content may contain inaccuracies; it is educational guidance, not a guarantee of a product’s characteristics.
8.2. Nothing in these Venue Terms excludes or limits liability where it cannot be excluded or limited under applicable (including mandatory Hungarian) law — in particular liability for death or personal injury, for damage to human life, physical integrity or health, for fraud, and for intentional or grossly negligent breach. Subject to the foregoing, and to the maximum extent permitted by law, our total aggregate liability for all claims arising out of or relating to the service or these Venue Terms in any rolling twelve (12) month period is limited to the greater of (a) the subscription fees you paid for the service in that period and (b) €490. We are not liable for indirect or consequential loss, loss of profits, or loss of goodwill; for any fines, penalties, or loss of licence imposed on you by alcohol-control or other authorities; or for anything arising from your sale or service of alcohol or from your guests’ consumption.
8.3. You will indemnify us against third-party claims arising from your breach of Section 5 (your responsibilities), your content, or your operation of your Venue.
9. Suspension, chargebacks and termination
We may suspend or terminate the service for non-payment, a payment reversal or chargeback on a paid subscription, or a material breach of these Venue Terms. On termination your licence and access end. Sections that by their nature should survive (fees due, IP, liability, indemnity, governing law) survive termination.
10. Changes to these terms
We may update these Venue Terms; we will post the new version here with a new version number and effective date and, for material changes, give reasonable notice. Continued use after the effective date constitutes acceptance.
11. General
11.1. These Venue Terms (with the documents they reference) are the entire agreement for the Venue subscription and supersede prior arrangements on the same subject. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it.
11.2. You may not assign or transfer these Venue Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for a failure or delay caused by events beyond its reasonable control (force majeure). Notices to you may be sent to your account email or shown in the dashboard; notices to us should go to hello@audiosommelier.pro. In the event of a conflict, these Venue Terms prevail over the general Terms of Service for the Venue subscription.
12. Governing law and disputes
These Venue Terms are governed by the laws of Hungary. As this is a business-to-business relationship, the parties submit to the exclusive jurisdiction of the competent Hungarian court for the Provider’s registered seat (the Pest Central District Court / Pesti Központi Kerületi Bíróság, or the competent higher court by value), and the consumer conciliation and EU ODR mechanisms do not apply. Nothing in these Venue Terms limits any right that cannot be limited by mandatory law, including any mandatory jurisdictional or protective right of a subscriber who qualifies as a consumer under applicable law.
