Partner Program Terms & Conditions

Version 1.4 · Effective date: October 11, 2026

1. Program Overview

The Audio Sommelier Partner Program ("Program") allows approved influencer, affiliate, venue, and provider partners to refer new users or place Audio Sommelier QR experiences connected to their business. By participating in this Program, you agree to be bound by these Terms and Conditions.

The Program is operated by Egységmester Korlátolt Felelősségű Társaság (short name: Egységmester Kft.), 2330 Dunaharaszti, Gyóni Géza köz 8., Hungary, company registration number 13-09-162959, tax number 24291608-2-13. Audio Sommelier provides digital tasting guidance only. It does not sell, ship, broker, supply, or include alcohol.

Audio Sommelier reserves the right to approve, reject, suspend, or terminate any partner account where required for compliance, fraud prevention, brand safety, payout safety, or business reasons.

2. Eligibility Requirements

To participate in the Program, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction
  • Have a valid business registration or operate as a sole proprietor
  • Possess a valid IBAN for a European bank account
  • Be a resident of a European Economic Area (EEA) country
  • Comply with all applicable laws, platform rules, tax requirements, advertising disclosure rules, and alcohol marketing restrictions
  • Not engage in prohibited activities as defined in Section 7

Venue and provider partners remain responsible for their own alcohol licensing, age verification, service standards, guest safety, and local hospitality rules. Influencer and affiliate partners remain responsible for their own advertising disclosures and platform compliance.

3. Commission Structure

Eligible partner conversions may earn commission or provider reward according to the current commission schedule shown in the partner dashboard or a separate written commercial agreement.

  • The current standard commission or provider reward rate is 15% on eligible subscription payments
  • Commission is calculated on the subscription amount before taxes
  • Recurring commission may apply for up to the first 3 paid months, subject to eligibility and approval
  • Direct purchases without valid affiliate or provider attribution do not generate partner commission
  • No commission is earned on refunded, reversed, fraudulent, or chargeback transactions
  • Custom rates may apply only where confirmed in writing or configured by Audio Sommelier admin after a separate commercial agreement
  • Standard commission rates are subject to change with 30 days advance notice where required by these terms

Example: If a referred user subscribes (plans from €6.99 / month), commission eligibility is calculated from the tax-exclusive subscription amount according to the active commission schedule. VAT, refunds, chargebacks, and failed payments are not part of the commission base.

4. Payout Terms

Minimum Payout Threshold: €100

Payout Schedule: Reviewed monthly; approved invoice-based payouts are processed manually within 15 days after approval

Payment Method: Manual bank transfer to your registered IBAN

  • Payouts become eligible once your approved balance reaches €100 or more
  • All payouts require invoice submission and approval (see Section 5)
  • Payouts may be delayed, withheld, or reversed if compliance requirements are not met
  • You are responsible for all bank transfer fees imposed by your bank
  • Currency conversion fees (if applicable) are borne by the partner

Commission eligibility is subject to fraud review, valid payment, refund and chargeback status, tax-exclusive revenue confirmation, invoice compliance, and compliance with these terms.

5. Invoice Requirements

All partners must submit a valid invoice before receiving payment. Your invoice must include:

  • Your business name exactly as registered in your partner profile
  • Invoice date and unique invoice number
  • Billing period (month/year)
  • Total commission amount in EUR
  • Your business address and tax identification number (if applicable)
  • Payment terms and bank details (IBAN)

Invoice Format: PDF only, max file size 10MB

Invoices that do not meet these requirements will be rejected, and payment will be delayed until a compliant invoice is submitted.

6. Referral and Venue Guidelines

When promoting or placing Audio Sommelier, you must:

  • Use only your unique referral link or QR code provided in your dashboard
  • Accurately represent Audio Sommelier's features and pricing
  • Comply with all advertising and marketing laws in your jurisdiction
  • Make clear that Audio Sommelier is digital tasting guidance only and does not sell alcohol
  • Ensure alcohol-related promotions are directed only to adults of legal drinking age
  • Not make false or misleading claims about the service
  • Not use spam, unsolicited emails, or other deceptive practices
  • Label every promotional link or post clearly at the point of the link (e.g. "#ad", "affiliate link", or "I earn a commission") so a reader always knows the commercial relationship before clicking
  • Do not make health, medical, intoxication-encouragement, or AI-accuracy claims about the service; do not imply that drinking any amount of alcohol is beneficial; comply with alcohol-marketing rules applicable in your country when promoting an alcohol-adjacent service
  • For venue QR placements, place QR materials only in lawful, age-appropriate contexts controlled by your venue or business

Attribution window: the referral marker stored in the visitor's browser is valid for 30 days from the click. Users who sign up within that window are attributed to you.

Attribution may be rejected if it is invalid, overwritten by an existing first-touch attribution, missing required records, or connected to self-referral, abuse, refund, chargeback, fraud, or other prohibited activity.

7. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination:

  • Self-referrals or creating fake accounts to earn commissions
  • Encouraging users to cancel and re-subscribe through your link
  • Using paid search advertising on Audio Sommelier branded keywords
  • Trademark or copyright infringement
  • Cookie stuffing or other fraudulent tracking methods
  • Presenting Audio Sommelier as selling, supplying, brokering, shipping, or including alcohol
  • Targeting minors or using youth-oriented alcohol marketing
  • Encouraging irresponsible, excessive, unsafe, or unlawful alcohol consumption
  • Promoting through adult content, illegal activities, or hate speech
  • Impersonating Audio Sommelier or its employees
  • Offering unauthorized discounts or incentives

Audio Sommelier may withhold or reverse commissions for fraud, self-referral, abuse, chargebacks, refunds, or policy violations.

8. Termination

Audio Sommelier reserves the right to suspend or terminate your partner account at any time, with or without cause, and with or without notice.

Reasons for termination may include, but are not limited to:

  • Violation of these Terms and Conditions
  • Fraudulent activity or misrepresentation
  • Failure to comply with invoice or payout requirements
  • Extended inactivity, unavailable venue placement, or no valid referrals for 12+ months

Upon termination, pending commissions may be withheld or cancelled if they are not eligible, not approved, or connected to a violation of these terms.

12. Modifications to Terms

Audio Sommelier reserves the right to modify these Terms and Conditions at any time. Changes will be communicated via email and posted on this page.

Continued participation in the Program after changes are posted constitutes your acceptance of the modified terms. If you do not agree to the changes, you must terminate your partner account.

Material changes (e.g., commission rate changes) will be communicated at least 30 days in advance.

13. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of Hungary, without prejudice to any mandatory rights that cannot legally be waived.
